The Administrative Agent shall have received a certificate signed by an Authorized Officer of the Borrower and dated the Effective Date, certifying true and correct copies of all the agreements evidencing the Indebtedness referred to in Section 7.2.2(c) and all other agreements, documents and instruments the breach, non-performance, cancellation or failure to renew could reasonably be expected to have a Material Adverse Effect, including the JSP Contract (collectively, the “Material Agreements”).
