No Joint Recording or other recording not recorded and Delivered in full compliance with the material terms and conditions of this Agreement will apply in fulfillment of Your Recording Commitment, nor will Company be required to make any payments in connection with any such Joint Recording other than royalties due You hereunder, even if such Joint Recording is actually released by Company.
The portion of the Recording Costs incurred in the making of a Joint Recording to be charged as an Advance will be computed by multiplying the aggregate amount of total Recording Costs incurred in making that joint recording by the same fraction used in determining the royalties payable to you in respect of that Joint Recording.
In respect of Joint Recordings, the royalty rate to be used in determining the royalties payable to you hereunder shall be computed by multiplying the royalty rate otherwise applicable thereto by a fraction, the numerator of which shall be one (1) and the denominator of which shall be the total number of royalty artists whose performances are embodied on a Joint Recording.
No "live" Recording, Joint Recording, or Recording not made in full compliance with this agreement shall apply in fulfillment of your Recording Commitment, and RISING STAR shall not be required to make any payments in connection with any such Recording except any royalties which may become due under this agreement if the Recording is released or otherwise exploited by RISING STAR.
