Joint Proxy means the final Joint Proxy Statement and Prospectus filed by Huntington with the SEC on April 29, 2016 under Rule 424(b)(3), which was also filed by FirstMerit with the SEC on April 29, 2016 as Definitive Proxy Statement on Schedule 14A.
