Notwithstanding the foregoing, with respect to certain Mortgage Loans originated or acquired by GSMC, Five Mile and JLC that are subject to defeasance, GSMC has transferred to a third party, and each of Five Mile and JLC has retained on behalf of itself or its Affiliate, the right to establish or designate the successor borrower and to purchase or cause to be purchased the related defeasance collateral (“Loan Seller Defeasance Rights and Obligations”).
