Except as set forth in Section 4.1 of the Sellers Disclosure Letter, Sellers have made available to Purchaser prior to the execution of this Agreement true and complete copies of the certificate of incorporation and by-laws (or comparable organizational documents) for each material Acquired Subsidiary and each of HKJV and JJV.
