  • Notwithstanding the foregoing, if, prior to the Effective Date, the Executive is demoted to a lower position than the position held on the date first set forth above, the Board (or if applicable, the JHFS Board) may declare that this Agreement shall be without force and effect by written notice delivered to the Executive (i) within 30 days following such demotion and (ii) prior to the occurrence of a Potential Change of Control or a Change of Control.

  • The base salary shall be reviewed at least once each year after the Effective Date, and may be increased (but not decreased) at any time and from time to time by action of the Board or JHFS Board, as the case may be, or any committee thereof or any individual having authority to take such action in accordance with the Company's (or if applicable, JHFS's) regular practices.
