JFSA means the Japanese Financial Services Agency. “JFSA Approval” has the meaning set forth in Schedule 3. “Knowledge” means, as of any date, with respect to Sellers, the actual knowledge as of such date of any of the officers of the Sellers or the Bank listed on Section 1.1(a) of Sellers’ Disclosure Schedule. “Law” means any foreign, federal, state or local law (including common law), statute, code, ordinance, rule, regulation, order, award, writ, decree, directive or injunction issued, promulgated or entered into by or with any Governmental Authority. “Lien” means any charge, mortgage, pledge, security interest, restriction, claim, lien or other similar encumbrance. “Loan Data File” has the meaning set forth in Section 3.19(d). “Lock-up Period” has the meaning set forth in Section 2.9. “Losses” means any damages, losses, payments, judgments, out-of-pocket costs and expenses (including reasonable and documented legal fees), liabilities, obligations, Taxes, interests, awards and penalties, including as a result of Actions.

Examples of JFSA in a sentence

  • Without limiting the generality of the foregoing, the Parties agree that all Required Filings with respect to any Requisite Regulatory Consent and the JFSA Approval shall be completed and filed no later than thirty (30) days after the date of this Agreement.
