JFF refers to Jobs for the Future.
JFF or the "Company") which JFF and an ad hoc committee (the --- ------- "Ad Hoc Committee") of certain holders of 11% Senior Subordinated Notes due 2009 ----------------- (the "Notes") of Feet and guaranteed by various subsidiaries and affiliates of ----- JFF, have agreed to. The Notes were issued pursuant to an Indenture (the "Indenture") dated April 15, 1999 by and between Feet, as issuer; Sneaker ---------- Stadium, Inc., Just For Feet of Texas, Inc., Just For Feet of Nevada, Inc., Just For Feet Specialty Stores, Inc., SNKR Holding Corp, and Athletic Attic Marketing, Inc., as guarantors; and The Bank of New York, as trustee. As of the date of this Term Sheet, of the 70,000,000 shares of common stock, par value $.0001, Feet has authorized, 31,211,000 shares have been issued (the "Common ------ Stock"). Feet, as borrower, is party to a Credit Agreement (the "Senior Credit ----- ------------- Facility"), dated as of September 24, 1999, with various JFF entities as -------- guarantors, and various lending institutions (the "Senior Lenders") led by Bank -------------- of America, N.A., as administrative agent, in the principal amount of $175 million. Feet, as borrower, is also party to a Credit Agreement (the "Junior ------ Credit Facility"), entered into as of September 23, 1999, with various JFF --------------- entities as guarantors, and various lending institutions (the "Junior Lenders") -------------- led by Bank of America, N.A., as administrative agent, in the principal amount of $40 million.

  • JFF may also terminate this Agreement if it believes or suspects that any CIF Book infringes in whole or in part the rights of any third party or for its convenience.

  • News releases or any other similar public announcements regarding the PFS Project or this PFS Contract may not be made by any Party, the Independent Evaluator, or JFF (collectively, the “Project Stakeholders”) without following the procedures outlined in Schedule G, Publicity and Disclosure of Information.

  • Subject to the Terms, JFF grants You a non-exclusive, non-transferable, revocable, limited license (with no right to sublicense) to download, print one copy, and use the CIF Books at the location of Your current employer.

  • JFF reserves the right to terminate or suspend this Agreement if funding for the Services under any award to JFF for the Project is withdrawn or reduced.

  • Subject to Sections 4.4 and 6.5(b), the costs of the Tax Accounting Firm shall be borne by JFF.

  • A final summary report of project status shall be delivered to JFF on a date that is determined by the JFF Program Lead.

  • JFF shall make such payment by wire transfer in immediately available funds according to wire instructions provided to JFF by BNP no later than the date that is five days prior to the Payment Date.

  • Upon termination under the preceding article, any portion of funding that remains unexpended as of the end date shall be returned immediately to The Foundation via JFF.

  • SERFF means the system for electronic rate and form filing. SERFF is a proprietary NAIC computer-based application that allows insurers and other entities to create and submit rate, rule and form filings electronically to the commissioner.
