This Agreement will terminate on the Expiration Date if the Expiration Date (except if the Expiration Date occurs pursuant to clause (ii) of the definition thereof) and after such time none of the Rollover Investor, JCF, Topco or any of their respective Affiliates or representatives will have any liability or obligation under this Agreement.
It is further understood and agreed that, in serving as an officer and/or director of MF Global, you are not doing so as a representative or designee of JCF.
A corporate opportunity offered to you shall belong to the MF Global Group, unless such opportunity is offered to you or you otherwise acquire knowledge of such opportunity through your capacity as an operating partner of JCF (or in any comparable capacity on behalf of JCF) and not through the MF Global Group (or to you in your capacity as an officer or director of MF Global), in which case such opportunity shall belong to JCF and not the MF Global Group.
The Board or an appropriate committee of the Board has reviewed and approved the provisions of this Agreement permitting your JCF relationship.
Trident shall be entitled to make three (3) such Registration Requests, JCF shall be entitled to make two (2) such Registration Requests, and DS shall be entitled to make two (2) such Registration Requests.
At any time following the one (1) year anniversary of the date hereof, each of Trident, JCF and DS (each, a "Requesting Holder") shall respectively be entitled to make requests in writing that the Company effect the registration of all or any part of the Registrable Securities held by such Holder (a "Registration Request").
The restrictions contained in this Section 13.1 shall in no way impair the rights granted (i) to JCF pursuant to the ▇▇▇▇▇▇ Employment Agreement or (ii) to ▇▇▇▇▇▇▇ pursuant to any employment agreement between ▇▇▇▇▇▇▇ and Rodeo.
In the event that the JCF Investor elects to proceed with a Holdings IPO, the Investors shall jointly agree on and appoint a bookrunner for the Holdings IPO process on the basis that such bookrunner shall underwrite all or a portion of the IPO at a given price, less any underwriter’s discount (the “IPO Price”).
This Agreement, the Seller Disclosure Schedule, the Confidentiality Agreement, dated as of June 3, 2005, by and among the Sellers, Delaware Street Capital, LLC and JCF, any schedules and any other writing signed by the parties in connection herewith constitute the entire agreement, and supersede all prior agreements and understandings (written and oral), among the parties with respect to the subject matter hereof.
The Encore Investor shall have the right to offer to purchase all, but not less than all, of the JCF Investor’s Company Securities; provided, that, the JCF Investor shall have no obligation to accept any such offer, and no such offer shall have any effect on any of the JCF Investor’s other rights or obligations under this Article III.
