IUC means International Uranium Corporation, the former name of Denison.

IUC has the meaning ascribed to it in the recitals hereof. "J & J" has the meaning ascribed to such term in the preamble of this Agreement. "Joinder Effective Date" means the date that any Joining Subsidiary becomes a Borrower hereunder pursuant to Section 5.10. "Joinder Supplement" has the meaning set forth in Schedule 5.10 hereto. "Joining Subsidiary" has the meaning set forth in Section 5.10 hereof. "Law" means any law (including common law), constitution, statute, treaty, convention, regulation, rule, ordinance, order, injunction, writ, decree or award of any Governmental Authority. "Lender" has the meaning ascribed to such term in the preamble hereto. "Lender Parties" means, collectively, the Lenders and the Administrative Agent. "Leverage Ratio" means as of any date of determination the ratio of total liabilities (as determined in accordance with GAAP) divided by Tangible Net Worth. "LIBO Rate" means the rate per annum determined by the Administrative Agent by dividing (the resulting quotient to be rounded upward to the nearest 1/100 of 1%)

• The Contractor(s) shall be notified in writing of such non-appropriation at the IUC- PG’s earliest opportunity.

• The successful vendor will provide to the Inter-University Council Purchasing Group (IUC- PG), a Contract Administrative Fee (CAF), to be calculated quarterly, which is equivalent to one-half of one percent (.50%) of the total invoice amounts of all orders shipped pursuant to this Agreement during the previous quarter.

• If THANE assigns this Agreement in its entirety, it shall notify IUC of any such assignment.

• Hosted Solutions’ Infrastructure Services Availability Commitment is to have the Hosted Solutions Internet Utility Center (IUC) Infrastructure Components available an average 99.999% of the time.

• THANE and IUC agree that neither will, nor permit any person or entity acting for or on its behalf to, bind or obligate the other Party, or represent to have such authority, without the express prior written approval of the other Party.

• THANE and IUC enter into this Agreement as separate and independent corporations, and companies.

• IUC hereby reserves for its own use its website ( w▇▇.▇▇▇▇▇▇.▇▇▇ ), T▇▇▇▇▇ Gifts, and Comtrad Industries ("RESERVED USE").

• IUC warrants that the Product will be free from defects in materials, workmanship or parts for a period of one (1) year from the date of delivery to THANE, and will indemnify THANE against any third party claim with respect to product defects in accordance with this Agreement.
