ITS Content definition

ITS Content means those tax course materials created by ITS, including all course books, DVDs, CDs, e-learning user IDs and the content and information, graphics, designs and data contained therein or accessible therefrom, and all updates, revisions, supplements and modifications thereto, as further described in the Order Form attached as Exhibit A to this Agreement (which may be amended from time to time upon written agreement of the parties).

Examples of ITS Content in a sentence

  • Licensee shall be responsible for paying any taxes associated with the license of the ITS Content, except for those taxes based on ITS’ income.

  • Licensee shall not publish, deliver, distribute, sell, download or otherwise make use of the ITS Content for any purposes other than Tax Instruction Purposes conducted within the licensed territory as identified in Exhibit A.

  • ITS will sell to Licensee certain e-learning user IDs, DVDs, books and other materials containing the ITS Content at the wholesale prices listed in the applicable Order Form.

  • Licensee shall be solely responsible for the costs and expenses it incurs in distributing the ITS Content to Authorized Users and otherwise using the ITS Content, in each case, as permitted in this Agreement.

  • ITS shall supply Licensee with updates to clarify or correct the ITS Content, the substance and timing of which shall be determined by ITS, in its sole discretion.

  • Licensee shall not in any way modify, alter, edit, reformat, add to or remove any text from the ITS Content without the prior written approval of ITS.

  • At all times, ITS shall be identified as the source of the ITS Content.

  • Licensee is not permitted to reproduce or copy the ITS Content or any portions thereof without the prior written consent of ITS.

  • Further, Licensee shall require every individual that purchases or otherwise is granted access to the ITS Content through Licensee to agree (i) not to copy, redistribute, sell or otherwise make use of the ITS Content for any purpose other than to take the applicable instructional course; and (ii) that the ITS Content is provided to the individual for the individual’s own personal use.

  • During the Term of this Agreement, ITS grants to Licensee a non-exclusive, revocable, non-transferable, royalty free right and license to use the ITS Marks within the ITS Content and, on Licensee’s marketing materials solely to designate the origin of the ITS Content (e.g., “curriculum supplied by The Income Tax School, Inc.”).

Related to ITS Content

  • U.S. Content means, with respect to any Item, all the costs, including labor, materials, services and overhead, but not markup or profit margin, which are of U.S. origin or manufacture, and which are incorporated into an Item in the United States.

  • VOC content means the total weight of VOC in a product expressed as a percentage of the product weight (exclusive of the container or packaging), as determined pursuant to sections 94515(a) and (b).

  • Customer Content means all software, data (including personal data), information, text, images, audio, video, photographs, non-AVEVA or third-party applications, and other content and material, in any format, provided by Customer, any of Customer’s users, or on behalf of Customer that is stored in, or run on or through, the Products and Support Services.

  • User Content means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other content or information that you or any Site Visitor or User post to any part of the Site or provide to Upwork, including such content or information that is posted as a result of questions.

  • Client Content means any content, materials, data and information, including Personal Information that Client or its Authorized Users enter into the SaaS Services or is otherwise uploaded by or on behalf of Client to the SaaS Services. Client Content shall not include any component of the SaaS Services or material or data provided by or on behalf of Accenture or its licensors.

  • Synchronous Optical Network (SONET means the optical interface standard that allows inter-networking of transmission products from multiple vendors. The base rate is 51.84 Mbps (“OC 1/STS 1”) and higher rates are direct multiples of the base rate, up to 13.22 Gbps.

  • Pupil Generated Content The term “pupil-generated content” means materials or content created by a pupil during and for the purpose of education including, but not limited to, essays, research reports, portfolios, creative writing, music or other audio files, photographs, videos, and account information that enables ongoing ownership of pupil content.

  • Synchronous Optical Network (SONET) is an optical interface standard that allows inter-networking of transmission products from multiple vendors. The base rate is 51.84 Mbps (“OC-1/STS-1”) and higher rates are direct multiples of the base rate, up to 13.22 Gbps.

  • Licensed Content means those articles or other parts of a Licensed Title which form part of the content licensed (including all content published during the Subscription Period to which access and use rights are granted under this Licence, and including all Previously Subscribed Material).

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Functional Specifications means the descriptions of features and functions of the Application as expressly set forth in Quote.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Technical Specifications means the detailed requirements for the Work furnished by the Architect and set forth in Book 3 of the Contract Documents.

  • Your Content means all software, data (including Personal Data), text, images, audio, video, photographs, non-Oracle or third party applications, and other content and material, in any format, provided by You or any of Your Users that is stored in, or run on or through, the Services. Services under this Agreement, Oracle Software, other Oracle products and services, and Oracle intellectual property, and all derivative works thereof, do not fall within the meaning of the term “Your Content.” Your Content includes any Third Party Content that is brought by You into the Services by Your use of the Services or any Oracle-provided tools.

  • Site content means textual, visual or aural content that is encountered as part of the user experience;

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Catalogue means the catalogue of IT Products available for Order under the provisions of the Framework Agreement.

  • Asbestos-containing material or “ACM” means asbestos or any material containing more than one percent (1%) asbestos as determined using methods specified in 40 CFR 763, Subpart E, Appendix E, Section I, Polarized Light Microscopy* including Category I and Category II ACM and all friable material.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Service Specifications means the following documents, as applicable to the Services under Your order:

  • UNICEF Supply Website means UNICEF's public access webpage available athttp://www.unicef.org/supply/index_procurement_policies.html, as may be updated from time to time.

  • Images means all types of visual content, including without limitation still photography, motion film or video and may include audio elements, whether generated optically, electronically, digitally or by any other means, and shall include all metadata, keywords, descriptions and captions associated therewith. Any reference to Images includes the whole or the part.

  • Hyperlink means a special HTML code that allows text or graphics to serve as a link that, when clicked on, takes a user to another place in the same document, to another document, or to another Internet Web site or Web page.

  • labelling means any words, particulars, trade marks, brand name, pictorial matter or symbol relating to a food and placed on any packaging, document, notice, label, ring or collar accompanying or referring to such food;
