  • The Iteris License shall otherwise become a perpetual and non-exclusive license.

  • Except as set forth on Schedule 5.8, each of Seller and Iteris GmbH (i) has been in compliance with all Laws and Orders applicable to the Business, and (ii) has not received any written notification from any Governmental Authority asserting that Seller or Iteris GmbH is not in compliance with any Law or Order applicable to the Business.

  • Iteris shall use commercially reasonably efforts to respect to the valid and enforceable intellectual property rights of third parties and to design around any patent that is reasonably believed to pose a risk to the freedom of Valeo to practice Iteris’s LDWS Technology and to reasonably apprise Valeo of any intellectual property right issued to a third party that may pose a risk to the freedom of Valeo to practice Iteris’s LDWS Technology.
