Issuer Substitution definition

Issuer Substitution means the substitution of entity being the issuer of the Bonds from GoCollective to GoCollective Holding, which the Issuer shall have the right to request subject to the terms and conditions of Clause 13.16 (Issuer Substitution) being satisfied.
Issuer Substitution means the process by which the Plan Company was substituted in place of the Parent Company as issuer of the SUNs on 11 January 2023.
Issuer Substitution means a Restructuring Issuer Substitution and/or a Voluntary Issuer Substitution, as the case may be.

Examples of Issuer Substitution in a sentence

  • In the event of such Restructuring Issuer Substitution, the Guarantee shall cease to exist.

  • The Guarantor consents in all respects to any Restructuring Issuer Substitution.

  • In the event of such a Voluntary Issuer Substitution, the Guarantee shall cease to exist.

  • The Company agrees to take any and all necessary action to effectuate any Voluntary Issuer Substitution with DTC or any other appropriate clearing system.

  • In connection with any such Voluntary Issuer Substitution, the Indenture shall be amended in order to give effect to and evidence such substitution and the Guarantor shall furnish the Trustee with an officers’ certificate and an opinion of counsel to the effect that all conditions precedent to such substitution provided for in the Indenture have been complied with.

  • The Company agrees to take any and all necessary action to effectuate any Restructuring Issuer Substitution with DTC or any other appropriate clearing system.

  • Except as set forth above, the execution of the Issuer Substitution Documents shall operate to release the Issuer (or such previous substitute as aforesaid) from all its obligations in respect of the Notes and its obligation to indemnify the Trustee under this Indenture.

  • Upon any such Voluntary Issuer Substitution, the Company shall be released from its obligations under the Notes and Indenture, and the Guarantor shall succeed to, and be substituted for, and may exercise every right and power of, the Company under the Notes and the Indenture with the same effect as if the Guarantor had been named as issuer in the Indenture and herein.

  • Upon any Restructuring Issuer Substitution, the Company shall be released from its obligations under the Notes and the Indenture, and the Guarantor shall succeed to, and be substituted for, and may exercise every right and power of, the Company under the Notes and the Indenture with the same effect as if the Guarantor had been named as issuer under the Indenture and herein.

  • Upon the execution of the Issuer Substitution Documents as referred to in paragraph (i) above, the Issuer and the Substituted Debtor will not be subject to the provisions of the covenant described above under Section 4.24.


More Definitions of Issuer Substitution

Issuer Substitution means in respect of each Series, the automatic substitution of the New Issuer in place of the Existing Issuer as issuer and principal debtor in respect of such Series of Bonds on the Issuer Substitution Date and the release of the Existing Issuer from all its obligations under such Series of Bonds on and from the Issuer Substitution Date and the waiver of any statutory right to request additional security in the context of the substitution of the New Issuer in place of the Existing Issuer, as further described in this Notice and in the Convocation Memorandum;
Issuer Substitution has the meaning set forth in Section 3.11(a).
