The effectiveness of this Amendment shall be conditioned on: • The occurrence of the 2013 Issuance Closing Date (as defined in the Second Amendment); and • Receipt by Warrant Holder of a copy of this Amendment, duly executed by the Company.
The parties hereto hereby agree that the Company’s obligations to effect the Subsequent Issuance Closing are subject to, and conditioned upon, there being any Obligations outstanding under the Loan Agreement on the Subsequent Issuance Closing Date.

The Company shall take all reasonable actions necessary to reserve and seek any required approval for the issuance of all shares of Class A Common Stock (as may be adjusted or converted pursuant to Section 2.2.2(c)) that are issuable on the Subsequent Issuance Closing Date.
The consummation of the Mandatory Issuance contemplated by this Agreement (the " Mandatory Issuance Closing", together with the Exchange Closing, the "Closing") shall occur within three days after the date (a "Mandatory Issuance Closing Date") of delivery of a Mandatory Issuance Notice.
For the avoidance of doubt, the Borrower acknowledges that a Share Issuance Closing Date may occur after the termination or expiration of the applicable Issuance Period.
The purchase and sale shall take place on the New Issuance Closing Date or such other date as the parties may agree.
Within two hours following the close of regular trading hours on each Reference Date for which Daily Issuance Shares are issuable hereunder, the Lenders shall deliver a notice (a “Daily Share Notice”) to the Borrower setting forth the number of Daily Issuance Shares and the portion of the Share Issuance Amount to be satisfied on the Share Issuance Closing Date related to such Reference Date, together with appropriate calculations of such amount.
The closing of the purchase of New Securities subscribed for or purchased by the Stockholders under this Section 9.12 shall be held at the principal office of the Company at 11:00 a.m. local time on the New Issuance Closing Date or at such other time and place as the parties to the transaction may agree.
