Irrevocable Agreements definition
Irrevocable Agreements means, collectively:
Irrevocable Agreements means, collectively (a) the Irrevocable Undertaking Agreement entered into in relation to the Offer dated as of February 6, 2018 between Applicant, Cobra Concesiones, S.L. and GIP II Helios, S.à ▇.▇. (the “Cobra Irrevocable Agreement”); (b) the Irrevocable Undertaking Agreement entered into in relation to the Offer, dated as of February 6, 2018 between Applicant and Mutuactivos, S.A.U., S.G.I.I.C. (the “Mutuactivos Irrevocable Agreement”); and (c) that certain Irrevocable Undertaking Agreement entered into in relation to the Offer, dated as of February 6, 2018 between Applicant and Sinergia Advisors 2006, A.V., S.A. (the “Singergia Irrevocable Agreement”).

(the “Mutuactivos Irrevocable Agreement”); and (c) that certain Irrevocable Undertaking Agreement entered into in relation to the Offer, dated as of February 6, 2018 between Applicant and Sinergia Advisors 2006, A.V., S.A. (the “Singergia Irrevocable Agreement”).

There is a voting agreement included in the Irrevocable Agreements between JCF and the Offeror and Reggeborgh and the Offeror respectively.
The Offeror has received a binding equity commitment letter from the relevant equity providers, providing the Offeror with the ability to fully finance the aggregate Offer Price and aggregate purchase price under the Irrevocable Agreements if and when due, subject to the terms and conditions set out herein and in the Irrevocable Agreements.
