The Authorised Officer may issue a Default Notice to the Provider where a Default may have or appears to have occurred that is not capable of being remedied (“an Irremediable Default”).
If ESIS ceases to be a wholly-owned subsidiary of NGC then, subject to the prior written consent of the Director having been obtained, the Executive Committee shall have the right to give notice in writing (in this sub-section 17.4, the "Irremediable Removal Notice") to the Settlement System Administrator referring to such event.

On expiry of the 24-hour notice period within the Irremediable Default Notice the Client shall be entitled to invoke the termination provisions under clause 14.1 (Contractor Default).
The administrative costs incurred by the Client in respect of each Irremediable Default Notice issued shall be [INSERT SUM (indexed)] and such sums shall be payable to the Client by the Contractor within thirty (30) days of the date of any invoice issued by the Client.
Where the Client Representative is satisfied that in any particular case the Contractor is in Default it shall be entitled to instruct the Contractor to remedy the Default at its cost within such reasonable period as the Client Representative may determine by issuing a Default Notice in accordance with clause 9.3, unless the Default in the reasonable opinion of the Client Representative falls within clause 9.6 (Irremediable Default).
On expiry of the [24 hour] notice period within the Irremediable Default Notice the Authority shall be entitled to invoke the termination provisions under clause 15.2.1. The administrative costs incurred by the Authority in respect of each Irremediable Default Notice issued shall be [£50.00]14 and such sums shall be deducted from the Provider’s monthly statements in accordance with clause 13.2 (Ascertainment of Amounts Due in Certificates).
