Iron Dynamics. ("IDI") is fully funded, built, and commences operations, in substantially the form and substance set forth in Exhibit 2.12(a) attached hereto. If, on or prior to the Closing (unless extended by mutual agreement of the parties), IDI has not been legally constituted as a subsidiary of the Company, with all necessary Lender approvals as to the form, nature, and substance of the proposed IDI Project, the Sale of Excess Product Agreement shall no longer be deemed a condition of the Closing, nor the basis for any claim by Purchasers for recision of their purchase of stock hereunder, for specific performance, or for damages. The parties in their discretion, however, may still wish to enter into such Agreement after the closing.
