Examples of IPR Licence in a sentence
No Seller nor any Target Company has, in the 12 months prior to the date of this Agreement, received a written notice alleging that the operations of any Target Company or the Business infringe the Intellectual Property Rights of, or constitute a material breach of any of the terms of any IPR Licence with, a third party or sent a written notice alleging that a third party is infringing the Business IP or is in material breach of any IPR Licence.
Assignee undertakes to the Third Party to perform from the date of this Deed obligations on the Assignor's part contained in the IPR Licence and to be bound by the terms of the IPR Licence in every way as if the Assignee were a party to the IPR Licence from the date of this Deed instead of the Assignor.
The Contractor shall not use in the delivery of the Services any Third Party IPR unless Prior written consent of the Authority is granted by the Authority and it has procured that the owner or an authorised licensor of the relevant Third Party IPR has granted a Third Party IPR Licence on the terms set out in Paragraph 24.5.
