  • The Issuer shall not, and shall not permit IPG Finance LLC or Canco, to carry on any business, other than (i) taking such steps as may be necessary to maintain its existence, (ii) to hold Securities of Restricted Subsidiaries, (iii) taking such action as is required under or in respect of this Agreement, any of the other Financing Documents or the Bank Documents, (iv) provided no Default or Event of Default shall have occurred and be continuing, IPG Finance LLC may lend money to IPG (US) Inc.

  • Company LLC Agreement means the Limited Liability Company Agreement of the Company, dated as of October 23, 2006, as amended or restated from time to time.
