IP Documents definition

IP Documents drawings, documents, specifications, software, design, calculations, samples, models, patterns and the like and any other information required by this Agreement prepared, developed or used by any Participant or the Owner in connection with this Agreement. “Key Result Areas” are defined in Schedule 13 (Risk or Reward Regime).
IP Documents means the documents referred to in section 11 of the Disclosure Letter and the documents listed in sections headed "Contracts", "Information Technology" and "Intellectual Property" of the index of Data Room documents;
IP Documents means each of the documents required to make filings with ------------ the patent and trademark office and/or register with the Copyright Office which assignment to or grant a security interest to Administrative Agent on behalf of Lenders in the IP Rights and are executed by the Borrower or other Loan Party to secure all or a portion of the Obligations.

  • Enter into or permit to exist any amendment, restatement, replacement, supplement or other modification to, or waiver of, any provision of the Material IP Documents as in effect on the Effective Date.

  • The BCI Parties have duly noticed the motion seeking approval of the Court of this Agreement, including, without limitation, providing notice of the motion to all parties which have liens, claims or other encumbrances against the Loan Documents, the IP Documents, the Consulting Agreement and the Warrants.

  • The consummation of the transactions contemplated by this Agreement will not violate or result in the breach, modification, cancellation, termination, or suspension of the IP Documents and will not cause the forfeiture or termination or give rise to a right of forfeiture or termination of any rights of Seller to any of its Intellectual Property.

  • The Seller is in material compliance with, and has not materially breached any term of any IP Document and, to the best knowledge of the Seller, all other parties to the IP Documents are in compliance with, and have not breached any term of, such IP Documents.

  • For the avoidance of doubt and subject to Participant 2’s obligations under clause 33.8, nothing in this clause operates to prevent Participant 2 from keeping a bona fide copy of the IP Documents and Design for its records.

  • The Disclosure Letter or the IP Documents identifies each material unregistered trade ▇▇▇▇, service ▇▇▇▇ or trade name that is part of the Business IP and the Company IP.

IP Documents means, collectively, (i) the Purchase Agreement, (ii) the Timber Note, (iii) the Paying Agency Agreement, and (iv) such other assignments, certificates, instruments, agreements, or other documents as may be required to effectuate the transactions contemplated by the Purchase Agreement.

Related to IP Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Partnership Documents means any contracts, indentures, mortgages, deeds of trust, loan or credit agreements, bonds, notes, debentures, evidences of indebtedness, leases or other instruments or agreements to which the Partnership or any of its subsidiaries is a party or by which the Partnership or any of its subsidiaries is bound or to which any of the property or assets of the Partnership or any of its subsidiaries is subject.

  • Material Documents has the meaning set forth in Section 5.23.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.
