  • At the Closing but immediately prior to the conveyance of the Purchased Assets, in accordance with the IP License Agreement, ATX shall grant to Purchaser or a member of the Purchaser Group (as designated by Purchaser) the exclusive right and license to use the Business Intellectual Property outside of the United States and subject to the terms of the IP License Agreement (the “Licensed ATX Intellectual Property”) in exchange for the Licensed ATX IP Amount (the “IP Payment”).
