Investor Preferred Return definition

Investor Preferred Return. With respect to each Investor, a per annum rate equal to five and one-half percent (5.5%) per annum on such Investor’s Invested Capital as adjusted from time to time, provided, however, that such rate shall be pro rated for each Fiscal Year of the Company which is less than twelve (12) full months.
Investor Preferred Return means a cumulative, non-compounded return of seven percent (7%) per year on the Unreturned Investment of a Contributing Member.
Investor Preferred Return means a cumulative, non-compounded return of six percent (6%) per year on the Unreturned Investment of a Holder.

Examples of Investor Preferred Return in a sentence

  • Upon the Closing of the redemption of any Redemption Units where the Investor Redemption Amount is paid, the Investor Redemption Amount paid to an Investor shall be allocated only among the Class B Units of such Investor that are being redeemed such that such payment of the Investor Redemption Amount shall be applied solely to reduce the Unpaid Investor Preferred Return and the Investor’s Invested Capital for the redeemed Class B Units.

  • Upon the Closing of the redemption of any Redemption Units where the Redemption Price is paid, the Unpaid Investor Preferred Return and the overall Invested Capital of the applicable Investor shall be reduced solely by the amounts of the Investor Preferred Return and Invested Capital associated with the applicable Redemption Units.

  • To the extent that Investor LP does not receive the full amount of its accrued Investor Preferred Return as of the last day of any calendar month, then the amount of the unpaid Investor Preferred Return (the “Investor Accrual”) will accrue and be entitled to a return thereon equal to the Investor Preferred Return.

  • As of any given date, the Investor Preferred Return of the Investor accrued to such date less distributions made by the Company to the Investor pursuant to the provisions of Sections 4.1(i) and 4.2(i) hereof as of such date.

  • Notwithstanding the foregoing, in the event that the Investor exchanges a portion of its Class B Units pursuant to the terms of Article X hereof, the Unpaid Investor Preferred Return shall be reduced by a fraction, the numerator of which shall be equal to the Tendered Units of the Investor at such time and the denominator of which shall be equal to all of the outstanding Class B Units held by the Investor at such time.

  • At each Closing, Inland shall (i) deliver the Stock Redemption Price or the Cash Redemption Price (and the Unpaid Investor Preferred Return associated with the applicable Redemption Units) and (ii) cause the Company to distribute to the Investor the Investor Redemption Amount, as applicable.

  • For purposes of further certainty, Operator Partners confirm that, in addition to the Investor Preferred Return payable pursuant to subsection (b) and the compounded return on the Investor Accrual payable pursuant to subsection (c), the Investor Accrual will be fully paid pursuant to this subsection (d) before any amounts are paid to Operator LP in accordance with the provisions of subsections (e), (f) and (g) below.

  • Notwithstanding any provision of this Agreement to the contrary, the Invested Capital and the Investor Preferred Return of the Investors shall be calculated and determined for each Class B Unit separately.

Investor Preferred Return shall have the meaning given in Section 5.2(b).
