Investa means Investa Capital Partners, Inc. "Merger Agreement" means the Merger Agreement and Plan of Reorganization dated as of January ____, 2007, among the Corporation, Elite FX, Inc., and other parties named therein. Notwithstanding any contrary provision, Common Stock issued with respect to the Investa Warrants shall not be deemed Registrable Securities for purposes of Section 2.1 below until the Corporation has raised at least Two Million, Five Hundred Thousand (US$ 2,500,000) United States Dollars in a PIPE financing. "Rule 144" means Rule 144 promulgated by the SEC under the Exchange Act, as such rule may be amended from time to time, or any successor rule thereto. "SEC" means the Securities and Exchange Commission of the United States of America or any successor to the rights and duties thereof.
