The Product Inventory Schedule shall become final and binding on the fifteenth (15th) day following the Product Inventory Delivery Date, unless prior to the end of such period, Purchaser delivers to Seller a written notice of its disagreement (“Notice of Disagreement”) specifying the number of Units which it believes do not satisfy the Product Criteria (each, a “Disputed Item”) and the basis for that belief.
