Gamesys will confirm, in writing signed by an officer of Gamesys, to Intertain that this has been completed on the earlier of: (i) the date on which any group is created and (ii) the end of the applicable Earn-Out Period.
If Intertain fails to comply with its obligations in this clause 34.3, Gamesys shall be entitled to appoint an agent on its behalf.
If Intertain wishes to dispute the amount in clause 13.1 or clause 13.2, it shall notify Gamesys as soon as reasonably practicable and in any event no later than three (3) months following the end of the Financial Year in respect of which the relevant Financial Statement was issued by Gamesys, and the Parties shall seek to resolve such dispute in accordance with the escalation process set out in Schedule 12.
Such service shall be deemed completed on delivery to such agent (whether or not it is forwarded to and received by Intertain).
The Parties acknowledge that the governance structure and each Party’s obligation to perform their respective roles and responsibilities as described in this Schedule in a timely manner are important for the successful delivery of the Branded Apps and for the success of the relationship between Intertain and Gamesys.
Gamesys shall pay such invoice in accordance with clause 13.4. If the amount of the aggregate Intertain Charges set out in the Financial Statements is a negative number, Gamesys shall, when sending the Financial Statements to Intertain under this clause 13.1, issue a corresponding invoice to Intertain for an amount equal to such negative number (expressed as a positive number).
If a Force Majeure Event continues and so prevents the performance by the affected Party of its obligations for more than ninety (90) days, either Party shall be entitled to terminate this Agreement immediately by written notice to the other Party, provided that any termination by Intertain shall not be served until the expiry of the Earn-Out Period.
If for any reason such agent ceases to be able to act as agent or no longer has an address in England or Wales, Intertain shall immediately appoint a substitute acceptable to Gamesys and deliver to Gamesys the new agent's name and address within England or Wales.
Intertain agrees that it will not repeat any such request for information in respect of the same group of employees within three months of such request being satisfied by Gamesys.
If disruption of Availability of a Primary Branded App is necessary in order to conduct Planned Maintenance during peak usage hours, then Gamesys will notify Intertain at least days prior to the scheduled work.
