INTERPRISE definition

INTERPRISE or the "HOLDER") or registered assigns, is entitled to purchase from World Commerce Online, Inc., a Delaware corporation (the "COMPANY"), at any time until 5 P.M. Eastern Time, on January 3, 2006 (the "OPTION PERIOD") but not thereafter, at an exercise price per share as set forth below, such number of fully paid and non-assessable shares of the Company (the shares issuable pursuant to this warrant are referred to as "WARRANT SHARES"), as set forth below, subject to adjustment as hereinafter provided.
INTERPRISE means International Preferred Securitization (Interprise) B.V., a company incorporated under the laws of the Netherlands.
INTERPRISE or the "HOLDER") or registered assigns, is entitled to purchase from World Commerce Online, Inc., a Delaware corporation (the "Company"), at any time until 5 P.M. Eastern Time, on October 31, 2004 (the "OPTION PERIOD") but not thereafter, at an exercise price per share as set forth below, 110,000 fully paid and non-assessable shares of Series B Convertible Preferred Stock, par value $.001, with the rights and privileges as set forth in Exhibit A attached hereto ("SERIES B PREFERRED STOCK") (the shares issuable pursuant to this warrant are referred to as "WARRANT SHARES"), as set forth below, subject to adjustment as hereinafter provided.
