Interoute means Interoute Communications Holdings S.A., a public limited liability company (société anonyme) organized under the laws of Luxembourg. “Interoute German Assets” means the Equity Interests issued by and the assets of the Interoute German Entities, together with the liabilities of, including all Indebtedness of, the Interoute German Entities. “Interoute German Entities” means GTT GmbH, GTT Communications Services GmbH and GTT Networks GmbH. “Investment” means: (i) any direct or indirect purchase or other acquisition by a Person of any Equity Interest of any other Person; (ii) any loan, advance (other than deposits with financial institutions available for withdrawal on demand), capital contribution or extension of credit to, guarantee or assumption of debt or purchase or other acquisition of any other Indebtedness of, any Person by any other Person; or (iii) the purchase, acquisition or investment of or in any stocks, bonds, mutual funds, notes, debentures or other securities, or any deposit account, certificate of deposit or other investment of any kind. For the avoidance of doubt, Permitted Equity Derivatives and acquisitions of or licenses for intellectual property or tangible assets used or useful in a Permitted Business do not constitute Investments. “Investment Grade Securities” means: (a) debt securities or debt instruments with a rating of “A-” or higher from S&P or “A3” or higher by ▇▇▇▇▇’▇ or the equivalent of such rating by such rating organization or, if no rating of ▇▇▇▇▇’▇ or S&P then exists, the equivalent of such rating by any other Nationally Recognized Statistical Rating Organization, but excluding any debt securities or instruments constituting loans or advances among the Parent Guarantor and its Subsidiaries; and (

  • All Liens created under the Loan Documents on the Interoute German Assets subject to a Directed Divestment shall be automatically released immediately prior to the consummation of such Directed Divestment.

  • Customer provided equipment and associated software-based applications and operating systems may be accommodated within Co-location premises provided by Interoute on Interoute’s Additional Terms for Co-location.

  • Interoute shall, to the extent reasonably practicable, give the Customer ten (10) days prior notice in writing (or such shorter period as may be necessary) of the timing and scope of such planned maintenance operation.

  • The Customer shall not be entitled to any service credits in respect of a claim unless and until Interoute has received notice of the claim in writing.
