Internal Projects definition

Internal Projects means internal research and development projects utilizing Licensed Products for the purpose of generating licensable intellectual property such as biological data and content, targets, biomarkers, mechanisms of disease and the like.
Internal Projects means, for any applicable period, the provisioning of professional resources by members of the WillowTree Revenue Group to Other Parent Group Entities for internal projects, where such arrangements are tracked by the WillowTree Revenue Group as internal costs and not through statements of work; provided that the Principal Member and the Class A Representative Member may mutually agree to modify the definition of Internal Projects with respect to any particular period. “Internal Projects Costs” means, for any applicable period, the internal costs of the WillowTree Revenue Group attributable to support by the WillowTree Revenue Group of Internal Projects; provided that the Principal Member and the Class A Representative Member may mutually agree to modify the definition of Internal Project Costs with respect to any particular period. “Internal Projects Revenues” means, for any applicable period, an amount equal to [*]% multiplied by the Internal Projects Costs for such period; provided that the Principal Member and the Class A Representative Member may mutually agree to modify the definition of Internal Projects Revenues with respect to any particular period.” (c) Section 3.5(d) of the Agreement is hereby amended and restated in its entirety to read as follows: “

Examples of Internal Projects in a sentence

  • Upon the approval of the Project Manager, Internal Projects, the vacation schedule shall be authorized and posted by June 1st of each year.

  • Within one hundred and twenty (120) days after the end of each full calendar year during the Term of this Agreement, Licensee shall issue to Caltech a detailed written report on its progress in performing Internal Projects, and introducing commercial Licensed Product(s) and Services.

  • Licensee shall be deemed to have satisfied its obligations under this Section 7.1 if Licensee has an ongoing and active research, development or marketing program (as appropriate to the stage of development of the technology in question), directed primarily toward Internal Projects or the commercial production and use of one or more Licensed Products or Services in a manner consistent with the normal business practices of other commercial entities (if any) who are active in the Field.

  • Licensee shall pay Caltech [***] of the amount received by Licensee in connection with the provision of Services and the sale or license of intellectual property arising from Internal Projects ("Net Non-Product Revenues").

  • The supervisor shall, before April 15th in each year, submit the proposed vacation schedule to the Project Manager, Internal Projects.

  • Licensee agrees to use commercially reasonable efforts to commercially introduce Licensed Product(s) or Services or perform Internal Projects in the Field as soon as practicable.

  • Licensee shall keep complete and accurate production and accounting records relating to commercialization (including via sublicensing) of Licensed Products, Services and transfer of intellectual property in connection Internal Projects.
