• Effective as of the Interim Release Date, the amount remaining in the Indemnity Escrow Account after giving effect to the release contemplated by the immediately preceding sentence shall be deemed the “Cap” for all indemnification claims made by Buyer Indemnitees under this Section 7 thereafter.
