Interest Value means the amount equal to the appraised value of the Company, as determined by an independent third party mutually selected by the Parties, multiplied by a fraction equal to the percentage of equity interest represented by the Interest being sold. The closing of any purchase or sale pursuant to this Section 13.6 shall occur at a date, time and place determined by the JV Investor initiating the same, which date shall be no later than thirty (30) days following the determination of the Interest Value.
