Interep means Interep National Radio Sales, Inc., a New York ------- corporation.

Interep shall include Interep and its affiliates.
Interep or the “Borrower”), the Lender and the Guarantors, the Lender has agreed to make extensions of credit to the Borrower in the aggregate principal amount of $10,000,000, upon the terms and subject to the conditions set forth therein. The Guarantors are Subsidiaries of the Borrower and will receive substantial direct and indirect benefits from the making of the Loans under the Loan Agreement. Pursuant to the Loan Agreement, as security for the Obligations, the Guarantors pledged all of their interests in the Collateral in favor of the Lender. As a condition precedent to the obligation of the Lender to make its extensions of credit to the Borrower under the Loan Agreement, the Lender has requested that the Guarantors execute and deliver this Guaranty for the benefit of the Lender.
