Intercompany Asset Transfer definition
Intercompany Asset Transfer means any transfer of assets (whether tangible or intangible) or Liabilities among Seller, the Company and the Company’s Subsidiaries, as contemplated by this Agreement, including any transfer of (i) Non-Business Assets or Liabilities from the Company or any of its Subsidiaries to Seller or its designee, (ii) assets or Liabilities related to the Business from Seller to the Company or any of its Subsidiaries, and (iii) assets or Liabilities related to the Business among the Company and its Subsidiaries.

In the event that Buyer, the Company or any of the Company’s Subsidiaries incur any Taxes as a result of any Intercompany Asset Transfer, Seller shall be responsible for the payment of such Tax.
