Between the date of this Agreement and the Date of Closing, neither Seller nor ▇▇▇▇▇ Intercable, Inc.

There shall not be in effect any statute, rule or regulation which would have the effect or prohibiting Intercable or BTH from consummating transactions contemplated hereby.
