Examples of Intel Parent in a sentence

  • Except as may be noted on Schedule A, as of the date of this Agreement, Stockholder is the record or beneficial owner of the Subject Shares denoted as being owned by Stockholder on Schedule A and shares the power to vote and dispose of those Subject Shares with Intel Parent.

  • Any amounts paid or contributed to the Company by Intel Parent in its capacity as guarantor or any other credit support provider shall be deposited into the same account into which such proceeds would have been deposited if the applicable primary obligor had made the applicable payment or contribution itself.

  • Without ▇▇▇▇▇▇ the foregoing, (i) the Intel Member shall have the right to seek enforcement on behalf of the Company of the indemnity of the Brookfield Member pursuant to Section 4.1(e) and the Equity Commitment Letter and (ii) the Brookfield Member shall have the right to seek enforcement on behalf of the Company of the Intel Parent Guaranty.

  • Any amounts paid to the Company by Intel pursuant to the Intel Parent Guaranty for Guaranteed Obligations (as defined in the Intel Parent Guaranty) shall be deposited into the same account into which such proceeds would have been deposited if the Intel Member had made the applicable payment or contribution required by the underlying Guaranteed Obligation.

  • Without limiting the generality of the foregoing, Sprint and the Strategic Investors each acknowledge that ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇ is a member of the Board of Directors of the Company and is also affiliated with the Stockholders and Intel Parent, and that the foregoing person in his capacity as a member of the Board of Directors of Company may, in the exercise of his fiduciary duties, take actions that would violate this Agreement if such actions were taken by a Stockholder.
