Integration Party definition

Integration Party has the meaning set forth in the preamble.
Integration Party means each of the Company, Telesat Corporation, a corporation incorporated under the laws of British Columbia, Telesat Canada, a corporation incorporated under the laws of Canada, Public Service Pension Investment Board, a Canadian Crown corporation incorporated under the laws of Canada (“Polaris”), Lion Combination Sub Corporation, a Delaware corporation, Telesat CanHold Corporation, a corporation incorporated under the laws of British Columbia, Red Isle Private Investments Inc., a corporation incorporated under the laws of Canada, and Telesat Partnership LP, a limited partnership organized under the laws of Ontario, or any of their respective “Affiliates” (as defined in the Integration Agreement).

Examples of Integration Party in a sentence

  • Each Integration Party shall, from the date of execution of the Business Integration Agreement to the effective date of the Share Exchange, conduct its business in compliance with applicable Laws and Regulations, with the due care of prudent manager and within the ordinary course of business.

  • If any event which may have a material impact on the Transaction occurs or is discovered, the Integration Party shall, to the extent not inconsistent with the applicable Laws and Regulations, promptly notify the other Parties to that effect and shall consult in good faith on solutions upon request from the other Parties.

  • In addition to what is provided in this paragraph, SoftBank Group has no Shares in the Integration Party.

  • Notwithstanding anything to the contrary, the foregoing provisions of this Section 13 shall not apply in respect of the execution by any Integration Party of the Integration Agreement, any amendments thereto or any other document or action taken in connection therewith.
