The Associate shall obtain a similar covenant from all employees or any other third Parties who become the recipient of Integrated Media Solutions confidential information, trade secrets or other proprietary information.

The Associate acknowledges that it is his responsibility, in conjunction with the customer, to establish entitlement to the Commission and Integrated Media Solutions shall be under no obligation to investigate the circumstances of an Accrued Sale if a customer does not designate the Associate to receive Commission.
Integrated Media Solutions shall be entitled to establish Commission payable for new Products and Services as it sees fit, in its sole discretion.
All written notices permitted or required to be delivered by the provisions of this Agreement shall (unless otherwise provided) be deemed so delivered when actually delivered by hand or when posted by Registered Mail or sent by fax or e-mail to the following addresses: To the Associate at the address first provided To: Integrated Media Solutions.
The Associate shall comply with all applicable laws, ordinances, rules and regulations in relation to the sale and marketing of Integrated Media Solutions Products and Services and shall comply with all orders of any and all authorities having jurisdiction in relation to the actions of the Associate.
