Instructing Parties means the Buyer and Seller (or Seller Representative, if one is designated in Exhibit A), acting jointly, including through the Account Administrator.

Instructing Parties means: (in respect of the Intercreditor Agent) the instructing persons specified in the Security Trust and Intercreditor Deed;46 (in respect of a Security Agent) the Intercreditor Agent; and (in respect of a Facility Agent) the person or group of persons who are entitled to instruct that Facility Agent as specified in the Facility Agreement to which it is party.

Examples of Instructing Parties in a sentence

  • The Instructing Parties have entered into binding agreement with each other (and others) in respect of certain transactions involving PRL 15.

  • While, as above, the Instructing Parties will be providing you with data or information and will not (as between themselves) be restricted in their communications with you, the 90 days deadline for the delivery of your certification report is paramount.

  • If the flow of data or information from the Instructing Parties is such (whether too little, too great or inconsistent) as to be likely to delay the provision of your certification report beyond the 90 days deadline, you are asked to inform the Instructor promptly.

  • Each Obligor also hereby authorizes the Trustee to sign and the Administrative Agent, the Required Instructing Parties, any Surety Party or the Trustee to file any such financing or continuation statements without the signature of such Obligor to the extent permitted by applicable law.

  • Until such time, as the conditions set forth above have been fulfilled, AXA Equitable shall not be obligated to make any payments to or at the direction of anyone other than the person shown on AXA Equitable’s books and records as the Instructing Parties to the Agreement.
