The Instructing Parties have entered into binding agreement with each other (and others) in respect of certain transactions involving PRL 15.
While, as above, the Instructing Parties will be providing you with data or information and will not (as between themselves) be restricted in their communications with you, the 90 days deadline for the delivery of your certification report is paramount.
The Instructing Parties shall be responsible for ensuring that only Authorized Persons transmit such Instructions to the Facility Agent and that the Instructing Parties and all Authorized Persons are solely responsible to safeguard the use and confidentiality of applicable user and authorization codes, passwords and/or authentication keys upon receipt by the applicable Instructing Party.
No modification or amendment to this Agreement will be valid unless it is in writing and signed by the Instructing Parties and an officer of AXA Equitable.
It is of importance to the Instructing Parties that your certification report is received within this period.
The Instructing Parties understand and agree that the Facility Agent cannot determine the identity of the actual sender of such Instructions and that the Facility Agent shall conclusively presume that directions that purport to have been sent by an Authorized Person listed on the incumbency certificate provided to the Facility Agent have been sent by such Authorized Person.

If the flow of data or information from the Instructing Parties is such (whether too little, too great or inconsistent) as to be likely to delay the provision of your certification report beyond the 90 days deadline, you are asked to inform the Instructor promptly.
Each Obligor also hereby authorizes the Trustee to sign and the Administrative Agent, the Required Instructing Parties, any Surety Party or the Trustee to file any such financing or continuation statements without the signature of such Obligor to the extent permitted by applicable law.
Until such time, as the conditions set forth above have been fulfilled, AXA Equitable shall not be obligated to make any payments to or at the direction of anyone other than the person shown on AXA Equitable’s books and records as the Instructing Parties to the Agreement.
