• Instinet acknowledges that the Client’s software, algorithms, code or any other such information which is contained within that part of the Co-Lo facility that Instinet provides for the Client’s benefit and will remain proprietary to the Client and Instinet shall not have access, except to the extent required by Applicable Rules.

• Any payments by Instinet to the RPA(s) shall be without interest.

• The Client agrees to comply with all IT and operational requirements relating to its use of the CoLo Services n otified by Instinet to the Client from time to time.

• The Client may only use the CoLo Services for Transactions with Instinet and as may otherwise be permitted by Instinet in writing.
