Initial Technology definition

Initial Technology means existing in-licensed technology of StemCells, Inc. on the date of this Agreement. Any transfer of Technology pursuant to this paragraph shall be provided for by CTI granting to the Scientific Founders or their assigns an exclusive license or, in the case of in-licensed technology, an exclusive sublicense, to the Technology (together with the benefits of any in-licensed technology and subject to any prior out-licenses approved by the Research Committee) in consideration of the payment to CTI of cash equal to the total funding for all research conducted in the non-neural stem cell research program (in the case of a transfer of Non-Neural Technology) or the stem cell research program generally (in regard to a transfer of Stem Cell Technology). This license will be provided for in a commercially reasonable license agreement designed to permit the continued development and commercialization of the transferred Technology. In the case of any transfer of in-licensed technology, any such transfer shall be subject to all applicable terms and conditions of the in-license. In order to give CTI an on-going interest in the successful commercialization of such technology, such license agreement will provide for a royalty to be paid to CTI at a royalty rate equal to 1% of the net sales of any product whose manufacture, use or sale would but for the grant of the license infringe on any claim in any issued patent included in the licensed Technology (other than the Initial Technology). If CTI determines to cease or reduce funding or assume control as provided in (ii) or (iii) above, CTI shall promptly notify the Scientific Founders and shall give the Scientific Founders one year from the date of such notice to arrange financing for the transactions described above. The provisions of this paragraph shall terminate on the earlier of July 1, 2005 or such time as the total funding of stem cell research conducted pursuant to the Research Plan shall have exceed $25 million, at least $15 million of which shall have been expended for non-neural stem cell research.
Initial Technology is defined in Section 1.7.21 of this Agreement; it includes but is not necessarily limited to the following as of the Effective Date of the Agreement:
Initial Technology means Licensed Technology "as is" on the Effective Date.

Examples of Initial Technology in a sentence

  • Manager may, from time to time, develop certain necessary and desirable improvements, modifications, enhancements, upgrades, derivative works, additions to and replacements of the Initial Technology Systems (collectively, the “Technology Systems Upgrades”) in which case Manager shall, to the extent practicable, cause the Technology Systems Upgrades to be integrated into the then existing Initial Technology Systems.

  • The Initial Technology Systems and any Technology Systems Upgrades (collectively, the “Technology Systems”) shall at all times be made available to and constitute the property of Owner regardless of whether made by Manager on behalf of Owner, Owner or an entity controlled by either of them.

  • Thereafter, upon Zai’s reasonable request, Paratek will provide Zai with reasonable assistance in the Development and Manufacture of the Licensed Products in the Field in the Territory (the “Continuing Technology Transfer,” and together with the Initial Technology Transfer, the “Technology Transfer”).

  • As part of the Initial Technology Transfer, in accordance with the Technology Transfer Plan, Paratek will make available to Zai the Paratek Know-How that constitutes the then-current process used by Paratek or its Third Party manufacturer in the manufacture of Licensed Products.

  • Thereafter, the Parties shall establish a process, upon Zai’s reasonable request, so that Entasis shall provide Zai with ongoing access to Licensed Know-How Controlled by Entasis that arises after the Effective Date for the Licensed Products (the “Continuing Technology Transfer,” and together with the Initial Technology Transfer, the “Technology Transfer”).

  • The FIBROGEN Know-How shall be transferred in a customary electronic format to the extent available, or otherwise in the original paper format, and FIBROGEN shall provide ELUMINEX with a reasonable level of technical assistance and consultation in connection with the Initial Technology Transfer, including access to appropriate personnel from FIBROGEN by teleconference.

  • Codexis shall promptly transfer to Merck (a) the Initial Technology Transfer Inventory, (b) the Codexis Materials, (c) the Codexis Documentation, and (d) the Codexis Software and other Platform Technology, at dates no later than those set forth in the timelines in Technology Transfer Plan.

  • NIP (or its designated Affiliate) will accept or reject completion of the Initial Technology Transfer in writing within thirty (30) calendar days from receipt of such notice.

  • The Initial Technology Transfer Inventory to be transferred in accordance with the Technology Transfer Plan shall be deemed to have been accepted by GSK [***] (the “Initial Technology Transfer Inventory Acceptance Criteria”).

  • In the event that the Term of this agreement is extended pursuant to Clause 9, the Licensee shall pay to Innovations the non-refundable sum of £15,000 (Fifteen Thousand pounds sterling) on each subsequent anniversary of the payment of the Initial Technology Access Fee paid pursuant to Clause 4.1 above which is deductible against royalties paid in that year as per clause 4.4.4.

Related to Initial Technology

  • New Technology means methods, products, processes and procedures developed through science or research;

  • SAP Technology Solution(s) means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP, if any but excluding when any of the foregoing are used as a User Interface for ERP).

  • Product Technology means the Product Know-How and Product Patents.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of ▇▇▇▇▇▇ Corp. II during the term of the Development Agreement.
