As of the date hereof, neither the Parent, Acquisition Sub nor Merger Sub has knowledge of any conditions that exist that could reasonably be expected to prevent or impede (i) the Initial Reorganization from qualifying as a reorganization within the meaning of Section 368(a)(1)(F) of the Code; or (ii) the Merger and the Subsequent Merger, taken together, from qualifying as a reorganization within the meaning of Section 368(a)(2)(D) of the Code.
