Initial P.O definition

Initial P.O means the non-cancelable Purchase Order submitted concurrently with the execution of this Agreement for the quantity of Products, pricing and delivery schedule as set forth below.

Examples of Initial P.O in a sentence

  • Concurrent with the execution of this Agreement, Customer will issue to QUALCOMM a non-cancelable Initial P.O. for at least [***] of the Product at the pricing set forth in Exhibit B and make timely payment as set forth in Article 4.4 below.

  • Concurrent with the execution of this Agreement, Customer will issue to QTI a non-cancelable Initial P.O. for at least [***] units of the Product at the pricing set forth in Exhibit B and make timely payment as set forth in Article 4.4 below.

  • For POs following the Initial PO, the costs of MFA shall be separately itemized on LANXESS’s invoices provided under Section 9.8(a), except in the event that LANXESS has independently identified and qualified the particular MFA supplier at its own cost.

  • RELYPSA shall pay LANXESS for the Manufacture of Bulk Drug during the Initial Term at the Base Price in accordance with the payment terms set forth in the Initial PO, except to the extent expressly modified by this Agreement.

  • The [***] MT of Bulk Drug set forth in the Initial PO will be Manufactured, Released and delivered to RELYPSA or its designee in accordance with the Delivery Dates set forth in Appendix 8.2, subject to a Force Majeure event or an exercise by RELYPSA of its option to [***] pursuant to Section 8.6.

  • The Base Price for Bulk Drug in the Initial PO for [***] MT of Bulk Drug is US [***] Dollars (US $[***]) per kilogram.

  • LANXESS shall Manufacture, supply and Release to RELYPSA (or RELYPSA’s designee) and RELYPSA shall pay for and take delivery of those Batches of Bulk Drug set forth in the Initial PO that are Manufactured in accordance of the terms of this Agreement.

Related to Initial P.O

  • Initial Portfolio means the initial portfolio of Receivables, comprising Eligible Assets, purchased by the Guarantor from the Seller pursuant to the Master Loans Purchase Agreement.

  • Initial Pool Balance means, an amount equal to the aggregate Principal Balance of the Receivables as of the Cutoff Date.

  • Initial Period means the period from (and including) the Issue Date to (but excluding) the First Call Date;

  • Material Portion has the meaning set forth in Section 6.13(c).

  • Substantial Portion means, with respect to the Property of the Borrower and its Subsidiaries, Property which (i) represents more than 10% of the consolidated assets of the Borrower and its Subsidiaries as would be shown in the consolidated financial statements of the Borrower and its Subsidiaries as at the beginning of the twelve-month period ending with the month in which such determination is made, or (ii) is responsible for more than 10% of the consolidated net sales or of the consolidated net income of the Borrower and its Subsidiaries as reflected in the financial statements referred to in clause (i) above.
