Seller and each of its Subsidiaries has good and marketable title to all of its properties, assets and rights necessary to permit Seller and each of its Subsidiaries to conduct its business as such business was conducted or proposed to be conducted on the date of the Initial Financial Statement (or, in the case of a Subsidiary formed or organized after the date thereof, on the date such Subsidiary is formed or organized).
