Initial Departure definition

Initial Departure means the time at which you first begin transit by any means of transport booked by us (including air transportation) for the purpose of taking the Cruise. “Windstar Air Package” refers to air transportation booked for you by us to enable you to travel to and from your Cruise. “Windstar Land Package” includes any shore activity before or after the Cruise or ashore during the Cruise that is arranged for you by Windstar Cruises in connection with your Cruise. “Cruise Package” means any combination of the Cruise, Windstar Air Package and/or Windstar Land Package.

  • To reject the arbitration provision, you must send us a notice by the earlier of (a) 30 days after you or your agent first receives this contract, whether electronically or in paper copy, or (b) the date of Initial Departure.

  • In the event of an increase in costs (including but not limited to fuel, other goods or services, labor, tolls, port, terminal or government charges) above amounts projected (other than as described in paragraph 1(b) below), we have the right to increase the fare at any time up to Initial Departure and to require payment of the additional fare prior to Initial Departure.

  • Note in particular the Holland America cancellations policy which specifies cancellation fees that you will be subject to if this contract is surrendered for cancellation within certain time periods prior to Initial Departure.

  • This has implied removal only of tariff barriers, however, and does not deal with non-tariff barriers (such as strict food safety standards or sanitary and phytosanitary requirements).

  • Within seven (7) days after you are notified of the additional fare (but no later than Initial Departure), you may elect to surrender this Contract to us for cancellation, whereupon you will receive the Refund Amount.

  • Initial Departure Notice (Box 28 (b)) The Hirer shall give the Tugowner the number of days notice of the number of days period falling within the initial departure period as to when the Tow will be ready to depart.

  • The fare that you paid was determined far in advance of Initial Departure on the basis of then-existing projections of costs.

  • In the event that an agent fails to remit to Windstar Cruises any monies paid by you to the agent, you remain liable for the fare due us, regardless of whether we demand payment before or after Initial Departure.

Related to Initial Departure

  • Statement of Departures means Schedule C-1 to the form of Proposal attached as Schedule C.

  • Departure means (i) for purposes other than those specified in subdivision (ii), imposition of a sentence outside the applicable guideline range or of a sentence that is otherwise different from the guideline sentence; and (ii) for purposes of §4A1.3 (Departures Based on Inadequacy of Criminal History Category), assignment of a criminal history category other than the otherwise applicable criminal history category, in order to effect a sentence outside the applicable guideline range. "Depart" means grant a departure.

  • Certificate of noncompliance means a document known as a certificate of noncompliance which is provided by the centralized collection unit of the department of revenue certifying that the named applicant or licensee has an outstanding liability placed with the unit and has not entered into an approved payment plan to pay the liability.

  • Amendment No. 8 Effective Date has the meaning assigned to such term in Amendment No. 8.

  • Amendment No. 7 Effective Date has the meaning assigned to such term in Amendment No. 7.

  • Restatement Agreement means the Restatement Agreement to the Existing Credit Agreement dated as of June 30, 2017 by and among each of the Loan Parties party thereto, the Administrative Agent and the Lenders party thereto.

  • Statement of Concurrence means an affirmative statement from the Offeror to the required specification agreeing to comply and concur with the stated requirement(s). This statement shall be included in Offerors proposal. (E.g. “We concur”, “Understands and Complies”, “Comply”, “Will Comply if Applicable” etc.)

  • Event of Noncompliance shall have the meaning set forth in the Certificate of Designations.

  • Amendment Agreement shall have the meaning assigned to such term in the recitals hereto.

  • Amendment No. 6 Effective Date has the meaning assigned to such term in Amendment No. 6.

  • Amendment No. 1 Effective Date has the meaning specified in Amendment No. 1.

  • Amendment No. 5 Effective Date has the meaning assigned to such term in Amendment No. 5.

  • Amendment No. 4 Effective Date has the meaning assigned to such term in Amendment No. 4.

  • Certificate of Amendment means the Certificate of Amendment to Amended and Restated Certificate of Incorporation of the Company, substantially in the form attached to this Agreement as Exhibit A.

  • Amendment and Restatement Agreement means the Amendment and Restatement Agreement, dated as of January 29, 2016, among the Borrowers, the Lenders party thereto and the Administrative Agent.

  • Administrative permit amendment means an air quality operating permit revision that:

  • Assignment of Management Agreement means the Assignment of Management Agreement and Subordination of Management Fees, dated the same date as this Loan Agreement, among Borrower, Lender and Property Manager, including all schedules, riders, allonges and addenda, as such Assignment of Management Agreement may be amended from time to time, and any future Assignment of Management Agreement and Subordination of Management Fees executed in accordance with Section 6.09(d).

  • Amendment No. 1 means Amendment No. 1 to Credit Agreement dated as of October 25, 2016, by and among the Loan Parties, the Administrative Agent and the Lenders party thereto.

  • Amendment No. 5 means Amendment No. 5 to this Agreement dated as of August 7, 2020, by and among the Borrower, Holdings, the other Loan Parties party thereto, the Extending Revolving Credit Lenders party thereto, and the Administrative Agent.

  • Amendment No. 7 means Amendment No. 7 to this Agreement, dated as of January 25, 2021 among the Borrower, the Term Administrative Agent, the Collateral Agent and the lenders party thereto.

  • Amendment No. 2 Effective Date has the meaning specified in Amendment No. 2.

  • Tariff Amendment means an amendment made by XXXXX, from time to time, to the tariff applicable to this Licence, on notice to the Licensee.

  • MiFID II means Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU;

  • Original Financing Agreement means the development credit agreement for a Social Investment Program Project between the Recipient and the Association, dated April 7, 2003, as amended to the date of this Agreement (Credit No. 3740-BD).

  • Amendment No. 6 means Amendment No. 6 to this Agreement dated as of August 24, 2021, by and among the Borrower, Holdings, the other Loan Parties party thereto, the Extending Revolving Credit Lenders party thereto, the Third Incremental Term Lenders and the Administrative Agent.

  • Charter Amendment means the Certificate of Amendment to the Certificate of Incorporation, in the form attached hereto as Exhibit D.
