Upon receipt of the consideration specified below, each of the Investors hereby release all of its right, title and interest in, to and under the Initial Conveyed Assets, such receipt being hereby acknowledged by execution of this Agreement by each Investor.
In consideration of the contribution of the Initial Conveyed Assets contributed to the Depositor on the Closing Date, the Depositor shall issue membership interests in the Depositor to the Originator representing 100% of the equity interest in the Depositor, such interest to represent the estimated fair market value of the Initial Conveyed Assets on the Closing Date.
