Effective as of the date hereof, the Company and the Executive hereby agree that the Initial Change in Control Agreement shall be terminated in its entirety and shall be of no further force and effect.
Notwithstanding anything to the contrary herein, the failure of the Company to deliver the Initial Change of Control Notice or the Change of Control Put Notice shall not impair the rights of the Holders under this Section 9(b).

If after the occurrence of an Initial Change in Control Event of the Company, the Company terminates the Executive's employment hereunder for any reason other than for Cause, then the Company will pay to the Executive the Severance Package.
