Initial Change definition

Initial Change. Any change to the BSOW directed prior to Amended Type Certification.

Examples of Initial Change in a sentence

  • Effective as of the date hereof, the Company and the Executive hereby agree that the Initial Change in Control Agreement shall be terminated in its entirety and shall be of no further force and effect.

  • Notwithstanding anything to the contrary herein, the failure of the Company to deliver the Initial Change of Control Notice or the Change of Control Put Notice shall not impair the rights of the Holders under this Section 9(b).

  • For each ▇▇▇ ▇▇▇▇▇ model, Changes following the Initial Change period for such minor model shall be governed by the Sustaining Contract.

  • If Crown orders less than 80% of the quantity of Products forecasted in the Initial Change Order Forecast or Subsequent Change Order Forecast, as the case may be, Crown shall be obligated to purchase that quantity of Products that is less than the 80% of the quantity of Products forecasted in the Initial Change Order Forecast or Subsequent Change Order Forecast, as the case may be.

  • If after the occurrence of an Initial Change of Control Event of the Company, the Company terminates the Executive's employment hereunder (a) because of a Discharge Event, or (b) without Cause and without any Discharge Event, then in either case the Company will pay to the Executive a lump sum termination payment equal to two (2) times the sum of his Base Salary and his Average Bonus (as defined below) (collectively, the "LUMP SUM PAYMENT").

  • Initial Change in Control Premium Payment: One-half of the Change in Control Premium Payment paid to Representative on the Payout Date.

  • Together with the HVAC Redesign Notification, Buyer approved Change Order Request ADOBE – 001 rev 5/2/08, a copy of which is attached hereto as Exhibit W-2 (the “HVAC Initial Change Order”).

  • If (a) prior to the occurrence of an Initial Change in Control Event (as defined below), the Company terminates the Executive's employment because of a Discharge Event (as defined below), or if (b) prior to the occurrence of a Change in Control of the Company, the Executive resigns because of the uncured material breach by the Company of any term of this Agreement, then in each case the Executive shall be entitled to receive a lump sum payment equal to his Base Salary and Average Bonus (as defined below).

  • If after the occurrence of an Initial Change of Control Event or a Change in Control of the Company, the Company terminates Executive's employment hereunder because of a Discharge Event, or without Cause and without any Discharge Event, including by Constructive Discharge, then in either case Executive shall be entitled to receive to his Base Salary in equal installments on a monthly basis for a period of twelve (12) months, as well as his unused vacation days as described in Section 7.2.

  • If after the occurrence of an Initial Change in Control Event of the Company, the Company terminates the Executive's employment hereunder for any reason other than for Cause, then the Company will pay to the Executive the Severance Package.
