Initial Calculation Period means, with respect to any Facility, the period from the first day of the Fiscal Month prior to the applicable Term Loan funding date through (a) the last day of the Fiscal Month including such funding date, if the funding date occurred on or before the fifteenth calendar day of the month, or (b) the last day of the first full Fiscal Month following such funding date, if the funding date occurred after the fifteenth calendar day of the month.
