Infoware definition

Infoware. “we” or “us” means Infoware Canada Inc. in an Agreement for IT Services or Infoware Development Inc. in an Agreement to license or subscribe for Software.

  • This Agreement does not pertain ------------------------------- to software or hardware which Ryder utilizes in performing the Services ("Infoware").

  • Unless otherwise specified in the Order Form and/or other contract documents that it is not the intent, nor does Infoware provide any type of backup of Customer data.

  • No charge shall be made for such access and Infoware will provide prior notification when such access is required.

  • If Infoware is required to purchase any assets, including computer hardware and/or software, in connection with Infoware providing the Services, all such assets will remain the sole property of Infoware, except that assets sold by Infoware to Customer or procured by Infoware on Customer’s behalf shall be the sole property of Customer.

  • It is understood that within the Services provided, it is not the intent, nor does Infoware provide any type of internet security monitoring, cyber security monitoring, cyber terrorism monitoring, or other cyber threats for Customer unless otherwise specified in the Order Form.

Related to Infoware

  • Technology means all the software, prototypes, devices, drawings, specifications, lab notebooks, manuals, databases, equipment, files, technical memoranda, invention disclosures, patent application files, research studies, testing data, plans, files, formulas, computer programs, data and information, quality control records and procedures, research and development files containing, embodying or revealing the trade secrets, confidential information, and know-how that constitute Intellectual Property.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • SAP Technology Solution(s) means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP, if any but excluding when any of the foregoing are used as a User Interface for ERP).

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).
