The Borrower will use the proceeds of the Loans to (i) finance a portion of the consideration of the Informatica Acquisition, (ii) consummate the Informatica Refinancing and (iii) pay fees, costs and expenses related to the Transactions.
In the case of an investigation, litigation or proceeding to which the indemnity in this Section 9.06(b) applies, such indemnity shall be effective whether or not such investigation, litigation or proceeding is brought by the Borrower, its equityholders or creditors, Informatica, its subsidiaries or any other third party or an Indemnitee, whether or not an Indemnitee is otherwise a party thereto and whether or not the transactions contemplated hereby are consummated.
