Executive's long-term incentive compensation, either in shares of NU, restricted stock units, options or cash, as applicable from time to time, shall be paid to Executive, subject to the Trustees' reasonable discretion, not later than such payments are made to the Company's senior level executives generally.
The Guarantor has independently determined the creditworthiness of Infonox and the enforceability of the Obligations and until the Obligations are paid and performed in full will independently and without reliance on GCA continue to make such determinations.
