Industrial Cooperation means: industrial activity or business in Israel, in the form of local subcontracting, and/or investments, and/or transfer of know-how, and/or research and development and/or acquisition of Israeli goods or work and/or other forms of industrial cooperation, as approved, in advance, by the Industrial Cooperation Authority, not including:

• The Parties shall endeavor to strengthen and develop trade, investment, and technological cooperation through the Joint Committee on Industrial Cooperation between Korea and Colombia, including but not limited to: (a) auto parts and automobiles; (b) cosmetics and toiletries; (c) textile, apparel, design, and fashion; (d) electricity, and related goods and services; (e) software & IT; (f) health tourism; and (g) home appliances.

• They also decide to retain the Subcommittee on Science and Technology established in 1987 and the Subcommittee on Industrial Cooperation established in 1989.

• Without derogating from the generality of the above, Supplier undertakes to fulfill the aforesaid obligations in accordance with the Mandatory Tenders Regulations (Mandatory Industrial Cooperation) 5767-2007, including but without limitation Section 8 of such regulations with respect to the period of fulfillment of the aforesaid obligations.

• The scope of Industrial Cooperation that shall be carried out by the Supplier shall be at an amount of at least __% of the Contract Value, i.e. a total amount of US$ _____________.

• The Contract Value for the purposes of calculating the scope of Industrial Cooperation hereunder shall be adjusted, as required, in any case of a change in the Contract Value.

• The Industrial Cooperation Agreement, inter alia, targets a wage formation that is compatible with the development of Sweden’s competitiveness.

• In accordance with Israeli Laws and regulations, and in addition to the foregoing, in the event that the value of this Agreement is at least Five (5) Million U.S. dollars, Supplier shall sign a standard Industrial Cooperation Undertaking form (to be provided by the Purchaser), pursuant to which the Supplier shall commit to industrial cooperation activities in Israel equal to thirty five percent (35%) of the value of this Agreement.

• As a precondition for the execution of this Contract, the Supplier shall be obligated to execute an Industrial Cooperation Agreement in accordance with the provisions of the Mandatory Tenders Regulations (Mandatory Industrial Cooperation), 2007, and such agreement shall be attached to this Contract as Annex "D".
